MATURITAS Securitisation SA (the “Company”), acting in the name and on behalf of its Compartment 2019/6808 offers to all bondholders of 2019-Bonds during the period from 2nd February 2026 to 18th February 2025, 12:00 CET (the “Offer Period”) the following options:
Option 1
For the 2019-Bonds, the maturity date is extended to 28th February 2029. The previously valid conditions according to the Terms of Issue remain unchanged.
Option 2
The 2019-Bonds will be redeemed to the bondholders on the 28th February 2026, including accrued interest.
Detailed information on the Company, the 2019-Bonds and the general terms of this offer can be found in the Terms of Issue of Maturitas Anleihe (Compartment 2019/6808) for the issue of bearer bonds based on a loan to SOPARFI Semper Paratus Industrie SA, which is available for free inspection at the Company.
The OFFER FOR PROLONGATION may be accepted by choosing Option 1 or Option 2 by the existing investors (the “Investors”) during the Offer Period in writing through the respective custodian bank of the Investors at the paying agent ISP Securities AG, Bellerivestrasse 45, 8008 Zurich, Switzerland (the “Paying Agent”) of the Company with stating “OFFER FOR PROLONGATION”.
If investors do not respond to this OFFER FOR PROLONGATION, the Company will assume that the investors agree to an extension of the maturity date and will therefore automatically select Option 1 in the name of the investors.
Any costs for the delivery are to be borne by the investors.
Each investor is advised to consult a tax advisor or other competent person with regard to the tax consequences of Option 1 and Option 2, who is able to adequately assess the special tax situation of the investor.
